Board of Directors Position Descriptions.
Position descriptions are critical to ensure that board members are clear about their roles and responsibilities. Even experienced board members may not be aware of recent changes in legal and fiscal accountability requirements. The position descriptions should be reviewed regularly to ensure they are current. Board members have very few individual rights – the board only speaks as a board when it is all together. No board member should assume any of the rights of the board, i.e. making hiring or firing decisions about the Executive Director, as an individual. Only the board as a whole has the authority to make decisions about governance of the organization.
