Committee Position Descriptions.
Committee position descriptions don’t have to be included in the Code of Regulations or Bylaws but should be written and distributed to all board members as a mechanism to clarify roles and responsibilities. Many nonprofit organizations are moving to a "zero-based" committee structure, wherein all committees end at the end of each (organizational) year, and must be reinstated by the board with a task. This prevents committees from continuing after their work is completed and gives an opportunity to change members on a regular basis. Board may elect to have a few standing committees, such as Governance/Nominating and Finance, with the rest serving on an ad hoc basis.
